By downloading, accessing, or using ChemBrief (the "App"), you agree to these Terms of Use (the "Terms"). If you do not agree, do not use the App.

1. Eligibility and Account

• You must have legal capacity to accept these Terms.
• You are responsible for account credentials, access devices, and activity under your account.
• You must provide accurate registration information and keep it updated.
• We may suspend or terminate accounts for fraud, abuse, legal violations, or security risk.

2. Service Description

ChemBrief provides market and industry content, including news, reports, search, subscriptions, alerts, and related features. Some features may require login, paid subscription, or both.

• Content is provided for general informational purposes.
• We may modify, add, or remove features at any time.
• Service availability may vary by region, platform, device, or network.

3. Subscriptions, Billing, and Auto-Renewal

• Paid plans may be offered via Apple App Store, Google Play, or other channels.
• Billing, renewal, cancellation, and refunds for in-app purchases are handled by the respective app marketplace under its policies.
• Subscription renews automatically unless canceled before renewal under your store account settings.
• If payment fails, paid access may be limited or suspended.

4. Acceptable Use

You agree not to:

• violate laws, regulations, or third-party rights;
• reverse engineer, copy, scrape, or exploit the App beyond permitted use;
• upload malicious code, attempt unauthorized access, or disrupt service;
• post unlawful, defamatory, hateful, infringing, or harmful content;
• use bots or automated means that overload systems without authorization.

5. User Content and Feedback

• You retain ownership of your submitted content (e.g., comments, questions, profile data).
• You grant us a non-exclusive, worldwide, royalty-free license to host, process, display, and distribute such content solely for operating and improving the App.
• You represent that you have rights to submit your content.
• Feedback you provide may be used without restriction or compensation.

6. Intellectual Property

• The App, software, branding, design, and non-user content are owned by us or our licensors.
• You receive a limited, revocable, non-transferable, non-exclusive license to use the App for personal or internal business purposes.
• No ownership is transferred to you.

7. Third-Party Services and Links

The App may integrate or link to third-party services (e.g., Apple, Google, analytics, payment, websites). We are not responsible for third-party services, terms, availability, or data practices.

8. Disclaimers

• The App is provided on an "as is" and "as available" basis.
• We do not guarantee uninterrupted, error-free, or fully secure operation.
• We do not guarantee completeness, accuracy, or fitness of all content for your specific use.
• Nothing in the App constitutes legal, investment, tax, or professional advice.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the App.

Where liability cannot be excluded, our total liability is limited to the amount you paid (if any) for the App services in the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your misuse of the App, your content, or your breach of these Terms.

11. Termination

You may stop using the App at any time. We may suspend or terminate access immediately where required for legal, security, or policy reasons.

Upon termination, provisions by nature intended to survive (e.g., IP, disclaimers, limitation of liability, dispute clauses) continue to apply.

13. Governing Law and Disputes

These Terms are governed by applicable laws of the operating entity's jurisdiction, unless mandatory local law requires otherwise.

Disputes shall be resolved by competent courts or other dispute mechanisms required by law, unless another mechanism is separately agreed in writing.
